These Referral Program Terms ("Referral Terms") apply to the ZMX referral program (the "Program") run by Zenith Meta Exchange during the Pre-Launch Event. They form part of the Terms of Use. Words defined in the Terms of Use have the same meaning here.
1. How the Program works
1.1 Every eligible account gets a unique referral link and code. When someone registers through your link, they become your Tier 1 referral. People who register through a Tier 1 referral's link are your Tier 2 referrals. People referred by a Tier 2 referral are your Tier 3 referrals. The Program counts no levels beyond Tier 3.
1.2 Joining the Program is free. Rewards come only from a fixed marketing budget and a fixed ZMX promotional pool set aside by Zenith Meta Exchange. They are never paid from deposits, fees or balances of other users. Your referrals' own Mined ZMX and rewards are never reduced because of rewards paid to you.
1.3 You do not need to buy anything, deposit anything or recruit anyone to take part in the Event. Referring is optional.
2. Verified referrals
2.1 A referral counts toward rewards only once it is verified. A verified referral is a new account that:
- registered through your link during the Program period;
- confirmed an email address not used on any other account;
- started at least 3 mining sessions;
- passed our fraud checks, including KYC if we request it;
- is not you, a duplicate of you, or an account you control.
2.2 Referrals that are registered but not yet verified show as "Pending" and earn nothing until verified.
3. Rewards

3.1 Mining-power bonus. Each verified referral raises your mining power by the percentage above. The bonus applies to the mining sessions you start yourself and is credited as extra Mined ZMX from the promotional pool, so you only receive it while you are mining. Your total referral bonus is limited to +100% of base mining power. The bonus is subject to all the Mined ZMX rules in the Terms of Use, including the ban on transfers before TGE.
3.2 No per-account cap. There is no limit on the number of verified referrals or on total USD rewards per account. USD rewards are paid from a fixed marketing budget for each Program phase. Once that budget is used up, we may stop new USD rewards for that phase and will post a notice on the Platform. Referrals verified before the notice still earn their rewards.
3.3 We may change reward amounts, percentages or caps for the future at any time by posting notice on the Platform. Rewards already confirmed are not affected.
4. Hold period and payout
4.1 USD rewards stay Pending for 7 days after a referral becomes verified. They become Confirmed if no fraud or breach is found in that time.
4.2 Confirmed USD rewards become withdrawable at the Token Generation Event (TGE). From then, you can withdraw them once they reach USD 50.00. Withdrawals are paid in USDT, and you may need to complete KYC first. Network or processor fees may be deducted. These will be shown before you confirm.
4.3 USD rewards are paid in the currency or stablecoin shown at withdrawal. If a conversion is needed, the rate is the one shown at the time of withdrawal.
4.4 You are responsible for any taxes due on rewards you receive.
5. Referral Competition (Phase 2)
The Referral Competition runs from 1 November 2026 00:00 UTC until 1 December 2026 00:00 UTC, alongside the mining event. Only referrals verified within that period count toward the Competition. The ranking method, prize pool of USD 2,000, number of winners, tie-break rules and prize payout dates will be published on the Platform before the Competition starts. Those published rules apply together with these Referral Terms. Only verified referrals count toward rankings.
6. How you may promote your link
6.1 You may share your link with people you know and on your own social media, messaging groups and websites, provided you follow each platform's rules.
6.2 You must not:
- refer yourself, or create accounts for others;
- offer or pay referrals to sign up, or share your rewards with them in exchange for registering;
- use spam, bulk unsolicited messages, or purchased contact lists;
- run paid ads that bid on "ZMX" brand terms or pretend to be ZMX's official accounts;
- describe ZMX or the Program as an investment, or promise profit, guaranteed income, a token price or "passive income";
- target people in restricted locations or anyone under 18.
7. Fraud and abuse
7.1 We use automated and manual checks to detect fraud. Examples include duplicate devices, networks or email addresses, bots, and unusual sign-up patterns.
7.2 If we reasonably suspect fraud or a breach of these Referral Terms, we may withhold, cancel or reverse rewards, including Confirmed or already paid rewards. We may also disqualify you from the Program, and suspend or close your account. If one of your referrals is found to be fraudulent, only rewards linked to that referral are affected, unless you were involved.
7.3 If you think a decision is wrong, contact support@zenithmetax.com within 30 days. A person will review it.
8. Changes and ending the Program
We may change, suspend or end the Program at any time by posting notice on the Platform. If we end it, verified referrals completed before the end date will still earn their rewards under these Referral Terms. This does not apply to referrals involving fraud or a breach.
9. General
Our records of referrals, mining sessions and rewards are final unless there is an obvious error. The governing law and dispute terms in the Terms of Use apply to these Referral Terms.
