Digital assets are high-risk. ZMX may lose all of its value. Do not rely on Mined ZMX, referral rewards or any estimated value as income or savings. Read this disclosure in full before you take part.
This disclosure covers the main risks of the ZMX Pre-Launch Event, the ZMX token and the future ZMX exchange. It does not cover every possible risk. If you are unsure whether taking part is right for you, get independent financial, legal and tax advice.
1. Token value risk
- ZMX has no market price before the Token Generation Event (TGE). Any USD or other currency figure shown next to your balance is an estimate based on an internal reference price of USD 1.00 per ZMX. It is not a quote, offer or promise.
- After TGE, ZMX's price will be set by the market. It may be far lower than any estimate, or zero.
- ZMX may never be listed on any exchange other than ZMX, or at all. If trading volume is low, you may be unable to sell when you want or at the price you want.
2. No guarantee of TGE or launch
The TGE, the exchange launch and the dates on our roadmap are plans, not promises. They may be delayed, changed or cancelled for technical, commercial, legal or regulatory reasons. If no TGE takes place, Mined ZMX will have no value and you will not be compensated.
3. Volatility
Digital asset prices can rise or fall sharply within minutes. News, market conditions, large holders selling (including when tokens unlock after TGE) and changes in sentiment can all cause large price swings.
4. Distribution and unlock risk
Mined ZMX may be released in stages under an unlock schedule. The price of ZMX may fall before your tokens unlock. Mined ZMX may also be reduced or forfeited if you breach the Terms of Use or do not complete required verification.
5. Regulatory risk
Laws on digital assets differ by country and change often. A change in law or a regulator's action could:
- stop us offering the Event, ZMX or the exchange in your country;
- require us to restrict, freeze or close accounts;
- affect whether ZMX can be held, traded or transferred where you live.
In some countries, holding or trading digital assets is restricted or prohibited. You are responsible for checking that taking part is legal where you live. Unless stated otherwise, Zenith Meta Exchange is not licensed by any financial regulator in your country. Users of an unlicensed service may not be covered by investor-protection, deposit-insurance or compensation schemes.
6. Technology and security risk
- Software bugs, smart-contract flaws, blockchain network failures or cyberattacks could cause loss, delay or errors in balances.
- Blockchain transactions cannot be reversed. Tokens sent to a wrong address are usually lost for good.
- If you lose access to a self-custody wallet or its private keys, we cannot recover your assets.
- Phishing sites and scammers may pretend to be ZMX. We will never ask for your password, 2FA codes or private keys. Always check you are on www.zenithmetax.com.
7. Counterparty and operational risk
When the exchange launches, assets held on the Platform will be in the custody of Zenith Meta Exchange. If Zenith Meta Exchange suffers insolvency, hacking, fraud by third parties or operational failure, you could lose some or all of those assets. Exchange outages may stop you trading or withdrawing at critical moments.
8. Referral reward risk
Referral rewards are promotional and come from a limited budget. They can end, change or be capped at any time, as set out in the Referral Terms. Do not spend money, or promise others money, expecting to earn it back through referrals.
9. Tax
Receiving, holding or selling ZMX, and receiving referral rewards, may be taxable where you live. You are responsible for reporting and paying any tax due.
10. No advice
Nothing on the Platform is investment, financial, legal or tax advice. Zenith Meta Exchange does not recommend that you acquire, hold or sell any digital asset.
