These Terms of Use ("Terms") govern your use of www.zenithmetax.com and any related apps and services (the "Platform"), including the ZMX Pre-Launch Mining Event (the "Event"). The Platform is operated by Zenith Meta Exchange, a company organized in the United States ("ZMX", "we", "us"). By creating an account or using the Platform, you agree to these Terms, our Privacy Policy, the Referral Program Terms and the Risk Disclosure. If you do not agree, do not use the Platform.
1. Eligibility
1.1 You must be at least 18 years old, or the age of majority where you live if that is higher.
1.2 You may not use the Platform if you are located or ordinarily resident in a place where your use would breach US sanctions law administered by the Office of Foreign Assets Control (OFAC). You also may not use it if you are on any sanctions list maintained by the United Nations, the United States, the European Union or the United Kingdom.
1.3 You may not use a VPN or other tool to hide your location in order to get around these restrictions.
1.4 You are responsible for making sure that taking part is legal where you live. We may restrict access from any location where the law requires it.
2. Your account
2.1 You may open only one account. Accounts are personal and may not be sold, transferred or shared.
2.2 You must give accurate information and keep it up to date. We may ask you to verify your email address or identity (KYC) at any time. This includes before releasing rewards or token distributions.
2.3 You are responsible for keeping your login details, two-factor authentication and any connected wallet secure. We are not liable for losses caused by unauthorised access that results from your failure to do this.
2.4 If you connect a self-custody wallet, you control its private keys. We cannot recover lost keys or reverse blockchain transactions.
3. The Pre-Launch Mining Event
3.1 What "mining" means. "Mining" in the Event means starting a promotional mining session. It does not involve computing hardware, staking or any payment from you. Logged-in eligible users may run one session at a time. Each session lasts 24 hours from the moment you start it and credits a promotional allocation of ZMX to your account as it runs ("Mined ZMX"). You can start a new session once the previous one has ended.
3.2 Free to join. Taking part in the Event requires no purchase, deposit or payment.
3.3 Mining rate, power and streaks. The amount per session depends on the network mining rate, base mining power, streak multipliers and referral bonuses, as shown on the Platform. The network mining rate goes down as the total number of miners grows, following the schedule shown on the Platform, and the rate in effect when you start a session applies to that whole session. We may change these rates at any time. Changes do not affect Mined ZMX already credited, except under section 3.6.
3.4 Not transferable before TGE. Before the Token Generation Event ("TGE"), Mined ZMX is an internal account record only. It cannot be withdrawn, transferred, traded or exchanged for money. It is not a deposit, an e-money balance or a claim against ZMX.
3.5 Distribution. At or after TGE, we will make Mined ZMX available under the distribution and unlock schedule published on the Platform. We may require you to complete KYC first. If you do not complete required verification within [N] days of being asked, your Mined ZMX may be forfeited.
3.6 Adjustments. We may cancel, reduce or reverse Mined ZMX, streak bonuses or referral rewards that came from a breach of these Terms. This includes multiple accounts, bots, scripts, fake referrals, exploiting bugs or any other abuse.
3.7 Estimated values. Any USD or other currency value shown next to Mined ZMX is an estimate only. It is based on an internal reference price of USD 1.00 per ZMX, set by Zenith Meta Exchange, and is not a price, offer, quote or promise. ZMX has no market price before TGE. Its value after TGE may be far lower than any estimate, or zero.
3.8 Changes to the Event. We may change, pause, extend or end the Event, or move the TGE date, at any time. We will post notice on the Platform. If the Event ends without a TGE, you will not be entitled to any compensation for Mined ZMX.
4. Nature of ZMX
4.1 ZMX is intended as a utility token for use on the ZMX exchange, for example for fee discounts and platform features. ZMX is not a share, bond, deposit, investment contract or other security. It gives you no ownership, voting, dividend, profit-sharing or redemption rights in Zenith Meta Exchange.
4.2 Nothing on the Platform is an offer to sell, or a solicitation to buy, any token, security or financial product. It is also not investment, financial, legal or tax advice.
5. Exchange services
Spot trading and other exchange services are not available during the pre-launch period. When they launch, they will be governed by separate trading terms. The fee schedule, including any pre-launch miner fee incentive, will be published at that time. Any incentive is subject to eligibility conditions and may be changed or withdrawn as stated in those terms.
6. Prohibited conduct
You must not:
- create or control more than one account, or use other people's identities or email addresses;
- use bots, scripts, emulators, device farms or other automated means to start mining sessions, register or refer;
- create fake, self-referred or incentivised-to-be-inactive referrals;
- exploit bugs, errors or loopholes, and you must report them to support@zenithmetax.com;
- use the Platform for money laundering, terrorist financing, fraud, sanctions evasion or any other unlawful purpose;
- make false or misleading statements about ZMX, including promises of returns, profit or guaranteed value, when promoting your referral link;
- interfere with, overload or attack the Platform, or try to access other users' accounts;
- copy, scrape or reverse-engineer the Platform except as allowed by law.
7. Suspension and termination
7.1 We may suspend or close your account, and cancel Mined ZMX and unpaid rewards, if we reasonably believe you have breached these Terms, if the law requires it, or if your account is linked to fraud or abuse.
7.2 You may close your account at any time by contacting support@zenithmetax.com. Closing your account forfeits any Mined ZMX and unpaid rewards that have not yet been distributed.
8. Intellectual property
The ZMX name, logo, Platform design, software and content belong to Zenith Meta Exchange or its licensors. You may share your referral link and our official promotional materials for the purposes of the Referral Program. You receive no other licence.
9. Disclaimers
The Platform and the Event are provided "as is" and "as available". To the extent the law allows, we make no warranty that the Platform will be uninterrupted, error-free or secure. We also make no warranty that a TGE will occur on any date or at all, or that ZMX will have any value or be listed on any market.
10. Limitation of liability
10.1 To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for loss of profits, data or opportunity, arising from your use of the Platform.
10.2 Our total liability to you for any claim relating to the Platform or the Event will not exceed USD [100] or the amount you have paid us in the 12 months before the claim, whichever is higher.
10.3 Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
11. Indemnity
You agree to compensate us for losses, claims and costs (including reasonable legal fees) that arise from your breach of these Terms or your misuse of the Platform.
12. Changes to these Terms
We may update these Terms. We will post the new version with a new "Last updated" date. Where changes are material, we will also notify you by email or on the Platform. If you keep using the Platform after the changes take effect, you accept them.
13. Governing law and disputes
These Terms are governed by the laws of the State of Indiana, United States, and applicable US federal law. Before starting formal proceedings, please contact support@zenithmetax.com so we can try to resolve the issue. Any dispute we cannot resolve within 30 days will be settled by [the courts of / arbitration under the rules of] [FORUM].
14. General
If any part of these Terms is found unenforceable, the rest stays in effect. We may assign these Terms to an affiliate or successor. If these Terms conflict with the Referral Program Terms on a referral matter, the Referral Program Terms apply.
